Humana and BlackRock have agreed to a joint venture involving nearly 150 CenterWell Senior Primary Care clinics, in a deal reported as worth $2.8B. BlackRock will acquire a majority stake in the clinics, which were previously backed by Welsh, Carson, Anderson & Stowe, according to Healthcare Dive. Humana operates CenterWell as part of its senior healthcare division.

Humana said BlackRock will help fund CenterWell’s growth over the next two years, including building clinics and pursuing acquisitions. The new arrangement removes a put option that could have required Humana to buy back the partner’s equity stake at a predetermined price. CenterWell can begin purchasing clinics from the joint venture in 2028. If it has not acquired all the clinics by the end of 2033, BlackRock can sell the remaining clinics, with CenterWell having the right to make the first offer. Humana said it does not expect the deal to affect its 2026 earnings forecast.
